Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and ApexResell EOOD, a Bulgarian limited liability company (UIC 208687954, VAT BG208687954), registered at the Bulgarian Commercial Register, hereinafter referred to as "ApexResell," "we," or "us."

By accessing or using apexresell.com (the "Site"), creating an account, or purchasing any product, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Site.

To use ApexResell, you must:

• Be at least 18 years old, or the age of legal majority in your jurisdiction;
• Have the legal capacity to enter into a binding contract;
• Not be barred from purchasing digital goods under the laws of your country of residence or any applicable export control regulations;
• Provide accurate, current, and complete information during registration and purchase.

You may purchase certain products as a guest, but to access your digital library, claim free starter bundles, or earn XP rewards, you must create an account. You are responsible for:

• Maintaining the confidentiality of your password and account credentials;
• All activity that occurs under your account, including unauthorized access if your password is compromised;
• Notifying us promptly at support@apexresell.com if you suspect unauthorized account access.

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

ApexResell sells digital products ("Products"), including but not limited to: stock video reels, Canva templates, Photoshop assets, Lightroom presets, Shopify themes, and curated bundles combining the above. Products are delivered electronically and consist of downloadable digital files.

Product descriptions, pricing, and availability are subject to change without notice. We make reasonable efforts to ensure accuracy but do not warrant that descriptions are error-free.

Upon successful payment, ApexResell grants you a non-exclusive, worldwide, lifetime license to use the purchased Products, including Master Resell Rights (MRR) where indicated.

You may not claim authorship of the underlying creative work, nor redistribute the Product itself for free in a way that would harm ApexResell's commercial interests.

All prices are listed in Euros (€) and include applicable EU VAT charged at the rate of your country of residence under the EU One-Stop Shop (OSS) scheme.

Payments are processed by Lemon Squeezy (a Merchant of Record). When you complete a purchase, Lemon Squeezy collects payment, charges applicable taxes, and remits them to the relevant tax authorities. ApexResell does not store full payment card details.

Accepted payment methods include major credit/debit cards (Visa, Mastercard, American Express), PayPal, Apple Pay, and Google Pay, subject to availability.

Products are delivered instantly upon successful payment. You will receive:

• An email receipt with download links;
• Access to your purchased Products in your personal library (account holders only);
• Lifetime re-download access — no subscription, no expiration.

If you do not receive your delivery within 30 minutes of payment, check your spam folder, then contact us at support@apexresell.com.

Refund eligibility for digital downloads is governed by our Refund Policy, which forms part of these Terms by reference.

You may not, under any circumstances:

• Use Products in connection with illegal, defamatory, or harmful content;
• Reverse-engineer, decompile, or attempt to extract source code from the ApexResell platform;
• Scrape, crawl, or systematically harvest data from the Site without our written consent;
• Resell or redistribute access to the ApexResell platform itself (the platform is licensed for your individual or business use, not for sublicensing);
• Use the Products to train commercial AI/ML models without express written permission;
• Falsely represent yourself as the original author of any Product you resell under MRR.

All content on the Site — including but not limited to the ApexResell name, logo, branding, design, and source code — is the exclusive property of ApexResell EOOD and is protected by Bulgarian, EU, and international copyright and trademark laws.

Underlying Product files (the digital assets you purchase) are licensed to you under the terms set out in Section 5. The platform UI, marketing copy, and ApexResell brand assets are not part of any Product license.

Products are provided "as-is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

ApexResell does not warrant that:

• The Site will be uninterrupted, timely, secure, or error-free;
• You will achieve any specific business or financial result by using or reselling the Products;
• Third-party software (e.g., Canva, Photoshop) will remain compatible with our templates indefinitely.

To the maximum extent permitted by law, ApexResell's total cumulative liability under these Terms — for any cause of action and regardless of the form of action — is limited to the amount you paid us in the twelve (12) months preceding the claim.

We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunity, even if advised of the possibility of such damages.

Nothing in these Terms limits your statutory rights as a consumer under Bulgarian or EU law where such limitation is not permitted.

We may suspend or terminate your account at any time for breach of these Terms, fraudulent activity, chargebacks, or abusive behavior. Upon termination:

• Your access to the platform and unredeemed XP rewards is revoked;
• Your previously-downloaded files remain yours under the license granted at purchase (we cannot revoke files you have already downloaded);
• Outstanding payments remain due.

You may close your account at any time via the account settings page or by emailing us.

We may update these Terms from time to time. Material changes will be communicated via email to registered users at least 14 days before they take effect. Continued use of the Site after the effective date constitutes acceptance.

The current version is always available at apexresell.com/terms.

These Terms are governed by the laws of the Republic of Bulgaria, without regard to conflict-of-laws principles. EU consumers retain the protection of mandatory rules of their country of residence.

Disputes shall be resolved by the competent courts of Sofia, Bulgaria. EU consumers may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
