Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and ApexResell EOOD, a Bulgarian single-member limited liability company (UIC 208687954), registered in the Bulgarian Commercial Register ("ApexResell," "we," or "us"). ApexResell EOOD is the seller of every product on apexresell.com.

By accessing or using apexresell.com (the "Site"), creating an account, or purchasing any product, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use the Site.

To use ApexResell, you must:

• Be at least 18 years old, or the age of legal majority in your jurisdiction;
• Have the legal capacity to enter into a binding contract;
• Not be barred from purchasing digital goods under the laws of your country of residence or any applicable export control regulations;
• Provide accurate, current, and complete information during registration and purchase.

You may purchase products as a guest. If you buy as a guest, you can later sign in with the same email address you used at checkout to see your purchases in your library. To claim free starter bundles or earn XP rewards, you need an account. You are responsible for:

• Keeping your password and account credentials confidential;
• All activity that occurs under your account;
• Notifying us promptly at support@apexresell.com if you suspect unauthorized account access.

We may suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

ApexResell sells digital products ("Products"), including: digital bundles with resell rights (for example stock video reels and design assets), Canva templates, an online Meta ads course, and the All Access monthly subscription described in Section 8. Products are delivered electronically as downloadable files or, for the course, as online access.

Each product page describes the main characteristics of the Product, including its content, format, and the software needed to use it. We may change descriptions, prices, and availability of Products for future purchases. Changes do not affect orders you have already paid for.

Upon successful payment, ApexResell grants you a non-exclusive, worldwide, perpetual license to use the purchased Products under the license that applies to that Product:

• Bundles and templates (Master Resell Rights, MRR): you may use the Product yourself, including commercially, and resell it to your own customers, either as-is or rebranded where the bundle's own license allows it, and keep the revenue from your sales.
• Courses (including the Meta ads course): personal license only. You may watch and use the course for yourself, but you may not resell, share, or redistribute it.

You may not claim authorship of the underlying creative work, nor give the Product away in bulk in a way that would harm ApexResell's commercial interests.

All prices are shown and charged in euros (EUR) and include applicable VAT. ApexResell EOOD is the seller and is responsible for charging and paying VAT on your purchase. If your card or payment account is in another currency, your bank or payment provider may convert the amount and may charge its own fees.

Payments are processed by Stripe, our payment processor. ApexResell does not see or store your full card details.

Available payment methods are shown at checkout and may include cards (Visa, Mastercard, American Express), Apple Pay, Google Pay, PayPal, Link and local methods, depending on your country.

If you need an invoice with your company or VAT details, email support@apexresell.com after your purchase.

One-time purchases are delivered immediately after successful payment. You will receive:

• An email confirmation of your order;
• Access to your purchased Products in your library, where you can download them again later;
• For the Meta ads course: a personal course link sent by email.

One-time purchases do not expire. Access through the All Access subscription works differently and is described in Section 8.

If you do not receive your delivery within 30 minutes of payment, check your spam folder, then contact us at support@apexresell.com.

ApexResell All Access is a monthly subscription that unlocks downloads of every bundle and course in the catalog, including products added while your subscription is active.

• Price: €39 per month (VAT included). Customers who have already bought from ApexResell may be offered a reduced price of €19 per month. The price that applies to you is shown at checkout before you pay.
• Renewal: the subscription renews automatically every month, and the monthly price is charged to your payment method on each renewal date, until you cancel.
• How to cancel: you can cancel at any time from the billing portal in your library (apexresell.com/dashboard/library), or by emailing support@apexresell.com. There is no cancellation fee.
• After cancelling: your access continues until the end of the month you have already paid for. After that period ends, you can no longer download files through All Access. Files you downloaded while subscribed remain usable under the license of each Product.
• Price changes: we will notify you by email at least 30 days before any price change takes effect for your subscription. If you do not agree, you can cancel before the new price applies.
• Guest subscribers: if you subscribed without an account, sign in with the email address you used at checkout to access your subscription and the billing portal.

Your right of withdrawal, your legal guarantee rights for faulty digital content, and the cases in which we refund are set out in our Refund Policy, which forms part of these Terms.

You may not:

• Use Products in connection with illegal, defamatory, or harmful content;
• Reverse-engineer, decompile, or attempt to extract source code from the ApexResell platform;
• Scrape, crawl, or systematically harvest data from the Site without our written consent;
• Resell or share access to the ApexResell platform itself, your account, or an All Access subscription;
• Resell, share, or redistribute courses, which are licensed for personal use only;
• Use the Products to train commercial AI/ML models without express written permission;
• Falsely represent yourself as the original author of any Product you resell.

The ApexResell name, logo, branding, site design, and source code belong to ApexResell EOOD and are protected by copyright and trademark law.

Product files are licensed to you under the terms set out in Section 5. The platform UI, marketing copy, and ApexResell brand assets are not part of any Product license.

We supply Products as described on their product pages. Apart from that, and without limiting your statutory rights as a consumer, we do not promise that:

• The Site will always be available without interruption;
• You will achieve any specific business or financial result by using or reselling the Products. Results depend on your own work and circumstances;
• Third-party software (for example Canva or Photoshop) will remain compatible with our templates indefinitely.

To the extent permitted by law, ApexResell's total liability under these Terms is limited to the amount you paid us in the twelve (12) months before the claim, and we are not liable for indirect or consequential losses such as loss of profits or business opportunity.

Nothing in these Terms limits or excludes liability for intent or gross negligence, or your statutory rights as a consumer under Bulgarian or EU law, including your rights for faulty or not-as-described digital content.

We may suspend or terminate your account for breach of these Terms, fraudulent activity, or abusive behavior. Upon termination:

• Your access to the platform and unredeemed XP rewards is revoked;
• Files you have already downloaded from paid one-time purchases remain usable under the license granted at purchase;
• Outstanding payments remain due.

You may close your account at any time via the account settings page or by emailing us. Closing your account does not cancel an All Access subscription automatically, so please cancel it first in the billing portal.

We may update these Terms from time to time. Material changes will be communicated by email to registered users and subscribers at least 14 days before they take effect (30 days for subscription price changes, see Section 8). The Terms that applied when you placed an order continue to apply to that order.

The current version is always available at apexresell.com/terms.

These Terms are governed by the laws of the Republic of Bulgaria. If you are a consumer living in another EU country, you also keep the protection of the mandatory consumer laws of your country of residence.

Please contact us first at support@apexresell.com so we can try to resolve any complaint. If we cannot resolve it, you can contact the Bulgarian Commission for Consumer Protection (Комисия за защита на потребителите, KZP) at kzp.bg, or use out-of-court dispute resolution through the general and sectoral conciliation commissions for consumer disputes (помирителни комисии) that operate with the KZP. You can also bring a claim before the competent Bulgarian court or the courts of your country of residence where consumer law allows it.
